Overview

Matt advises lower-middle-market private equity funds, independent sponsors, and closely held businesses on transactions across the full investment lifecycle, with a particular focus on efficient execution and practical deal solutions. His practice centers on mergers and acquisitions, platform and add-on investments, equity financings, and other strategic transactions, along with the commercial contracts and corporate governance matters that support sponsor-backed companies post-closing.

Matt regularly works with private equity deal teams on control and minority investments in founder-owned and family-owned businesses, guiding clients through structuring, diligence, negotiation, and closing. He has led and supported numerous buy-side and sell-side transactions, including platform acquisitions, roll-up strategies, and add-on acquisitions, typically involving businesses in the lower-middle-market transaction size range. Clients value his ability to balance legal precision with commercial realities, particularly in time-sensitive and competitive deal processes.

Matt’s transaction experience spans a wide range of industries commonly targeted by lower-middle-market sponsors, including insurance brokerage, security and patrol services, manufacturing, heavy equipment dealerships, restaurants, home services, distribution, and information technology services. He frequently advises on sponsor-backed acquisitions of independent insurance agencies and other recurring-revenue businesses, as well as operationally complex companies requiring tailored diligence and risk allocation.

In addition to private company transactions, Matt represents public companies in connection with acquisitions, divestitures, entity formation, and corporate governance matters, bringing institutional-level experience to lower-middle-market deals.

Outside the office, Matt enjoys spending time with his wife and son, playing pick-up basketball, cooking for friends and family, and cheering on the Florida Gators in football and basketball.
